Eligibility
You must be at least 18 years old to use SonicStem. You must also be able to enter into a binding agreement, and you must use the service in a way that complies with the laws that apply to you.
Your account
You need an account to use the service. You are responsible for the accuracy of the information you give us, for keeping your password secure, and for everything that happens under your account. You must verify your email address before you can use the tools.
Do not share your account with others, and tell us promptly if you believe someone else has gained access to it.
Acceptable use
When using SonicStem, you agree not to:
- Upload material you do not have sufficient rights and authorization to upload and process.
- Upload unlawful content, or content that infringes someone else's rights.
- Upload malware, malicious files, or files crafted to attack or destabilise the service.
- Use the service to create material that is defamatory, harassing, or that impersonates another person in a misleading or harmful way.
- Attempt to bypass or work around usage limits, credit charges, or billing.
- Abuse accounts or credits, including creating accounts in order to obtain allowances repeatedly.
- Attempt to break, overload, probe, or work around the service's security controls.
- Gain or attempt to gain unauthorised access to the service, to other accounts, or to other people's files.
- Interfere with the service or with other people's use of it, including by automated access that degrades it.
- Resell, redistribute, or otherwise misuse access to the service without our agreement.
- Reverse engineer the service or attempt to extract the underlying models or software.
- Take any action that violates another party's rights.
Your audio and your rights
You are responsible for the audio you upload. By uploading a file you represent that you own it or otherwise have sufficient rights and authorization to upload it and to have it processed by SonicStem for the purposes you have chosen.
Separating, transcribing, or converting a recording does not give you rights in that recording or in the underlying composition. If you upload someone else's music, whatever you do with the results remains subject to their rights. Deciding whether your intended use is permitted is your responsibility, not ours.
You keep ownership of your original content. Uploading a file to SonicStem does not transfer ownership of it to us.
Permission to process
To provide the service we need your permission to handle your files. By uploading, you give us permission to store, copy, transmit, and process your audio, and to generate outputs from it, strictly for the purpose of running the tools you requested, delivering the results to you, and keeping the service secure and working.
This permission exists so the product can function. We do not use it to publish your audio, to sell it, or to make it available to other users.
Outputs and their limits
SonicStem uses automated audio analysis and machine-learning models. These are imperfect, and results vary with the source material.
We do not guarantee that stems, lyrics, chords, MIDI, BPM, key, Camelot, LUFS, or any other output will be accurate, complete, or free of artefacts. Separated stems may contain bleed from other instruments. Transcribed lyrics may contain errors or omissions. Detected tempo, key, and chords may be wrong, particularly on dense, live, or unusual material. Treat every output as a starting point that you should check, not as a verified result.
As between you and us, we do not claim ownership of the outputs generated from your uploads. Those outputs are derived from your source material, so any rights in the source continue to apply to them.
Processing credits
Some tools consume processing credits. Analysis features such as BPM, key, Camelot, and LUFS, and basic playback and conversion features, do not. The heavier tools — stem separation, lyrics, chord MIDI, and full-song MIDI — each consume credits when you run them.
- SonicStem Pro includes 1,000 processing credits for each billing period.
- The credit cost depends on which tool you run and on the length of the track.
- Credits are reserved when a run starts and are charged when it completes. If a run does not complete, the reservation is released.
- Your allowance resets at the start of each billing period. Unused credits do not roll over and expire at the end of the billing period they belong to.
- Credits are an allowance for using the service. They are not cash, stored value, or transferable property, they have no cash value, and they cannot be transferred between accounts, sold, or exchanged for money.
- We may correct billing, entitlement, or credit errors, including adjusting a credit balance that was recorded incorrectly.
- Abuse of the credit system, fraud, a chargeback, or a reversed payment may affect your access to the service.
Subscriptions and billing
SonicStem Pro costs $9.99 USD per month. Depending on where you are, tax may be added to that amount or included in it, and the charge may be presented in your local currency. The total you will be charged is shown at checkout before you confirm.
A subscription renews automatically each billing period until it is cancelled, and cancelling stops future renewals. Cancellation and refund handling is described on the Refund and Cancellation Policy page.
Who sells the subscription
Qualifying purchases are sold and processed through Link under Stripe Managed Payments, with Stripe acting as merchant of record for those transactions. Where that applies, Link handles checkout, payment processing, your billing information, applicable tax calculation and collection, receipts, payment-method management, subscription billing management, and payment-related support. Your statement may show LINK.COM.
Where a subscription is not sold through Managed Payments, it is billed directly through Stripe and managed from the Stripe billing portal in your account.
In either case, payment-card details are entered on the payment provider's own pages and are not stored by SonicStem.
What SonicStem remains responsible for
Pro Logic Ent, Inc. operates SonicStem and remains responsible for your account and access to it, your credits, the files you upload, the audio-processing tools, the outputs they generate, technical support, service availability, and enforcement of these terms. Link does not control your SonicStem account, your credits, the features available to you, your uploaded files, or your technical support.
We may change prices or what a plan includes. If we do, we will give notice before the change applies to your subscription.
Service availability
SonicStem is provided on an ongoing but not guaranteed basis. We do not offer an uptime commitment. The service may be unavailable for maintenance, upgrades, or reasons outside our control, and processing may be delayed when demand is high.
Completed jobs and downloadable artifacts are generally available for approximately 24 hours. After that period a job may disappear from My Jobs and downloads may no longer be available, and the associated stored files become eligible for cleanup under our retention systems. You are responsible for downloading anything you want to keep during that window. SonicStem is not a backup or permanent-storage service and should not hold the only copy of your work. Retention is described in more detail in the Privacy Policy.
We may add, change, or remove features. We may also discontinue the service; if we do, we will make a reasonable effort to give notice.
Suspension and termination
We may suspend or terminate an account that breaches these terms, that is being used unlawfully, or that is placing the service or other users at risk. Where it is reasonable to do so, we will tell you why.
You can stop using SonicStem at any time. Cancelling a subscription and closing an account are different actions — see the Refund and Cancellation Policy.
Our intellectual property
The SonicStem name, the site and application, their design, and the underlying software are ours or our licensors'. These terms do not give you any rights in them beyond permission to use the service as intended. SonicStem uses third-party open-source components; their licences are acknowledged in the product.
Disclaimers
The service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or secure, that outputs will be accurate or suitable for your purpose, or that files will remain available beyond the download window described in the Privacy Policy.
Limitation of liability
To the extent permitted by law, SonicStem and Pro Logic Ent, Inc. are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data or files, loss of business or opportunity, or the cost of substitute services, arising out of or relating to your use of the service. This applies however the loss arises, and even if we had been told the loss was possible.
Without limiting the sentence above, this includes loss or damage arising from:
- your reliance on outputs generated by the service, including stems, lyrics, chords, MIDI, BPM, key, Camelot, and LUFS values, all of which are produced by automated analysis and may contain errors;
- interruption, suspension, delay, or unavailability of the service;
- jobs, files, or downloads becoming unavailable after the availability window described in the Privacy Policy.
Our total aggregate liability for all claims arising out of or relating to the service is limited to the greater of (a) the amounts you paid to SonicStem in the twelve months before the event giving rise to the claim, or (b) USD 100.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under any consumer protection that applies to you and cannot be waived by agreement.
Governing law and disputes
These terms, and any dispute arising out of or relating to them or to the service, are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
You and Pro Logic Ent, Inc. agree that the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any such dispute, and each of us consents to personal jurisdiction and venue in those courts.
Nothing in this section removes any protection or right you have under the mandatory consumer law of the country or state where you live that cannot be waived by agreement, including any right to bring a claim in the courts of your own jurisdiction where that law gives you that right.
Changes
We may update these terms as the service develops. When we do, we will update the "last updated" date at the top of this page. If a change is material, we will make a reasonable effort to tell you. Continuing to use SonicStem after a change means you accept the updated terms.
